1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Hailant Technologies Inc. ("Hailant," "we," "us," or "our"), a corporation incorporated under the laws of Alberta, Canada. By accessing or using Hailant's services, website, or software, you agree to be bound by these Terms.
If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. About Hailant and Our Services

- Licensing and reselling access to Anthropic's Claude AI models and APIs
- Implementation, configuration, and integration of AI-powered workflows
- System unification — connecting your existing business tools through AI-driven interfaces
- Ongoing support, training, and optimization for AI-enabled business operations
- Consulting and advisory services related to AI adoption for Canadian SMBs
- Deployment and ongoing management of AI agents within client business environments ("Managed AI Agent" deployments), including integration with third-party business systems
- Proof of Concept ("POC") engagements allowing clients to evaluate Managed AI Agent deployments prior to a full production subscription
By subscribing to our services, you also agree to comply with Anthropic's Usage Policy, available at anthropic.com/legal/usage-policy. Hailant's right to provide Claude-powered services is contingent on our reseller agreement with Anthropic, and Hailant reserves the right to modify or discontinue access if required by Anthropic.
3. Managed AI Agent Deployments
A "Managed AI Agent" is a configured AI-powered system deployed by Hailant within or connected to a client's existing business workflows, tools, or customer-facing processes. Managed AI Agent deployments may include:
- AI agents connected to client CRM, quoting, inventory, or communication systems via API or provided credentials
- Automated AI-driven workflows that process client data, generate documents, or interact with third-party platforms on the client's behalf
- Voice or text-based AI interfaces integrated into client operations, including processing of call recordings and transcripts
Hailant's responsibilities in a Managed AI Agent deployment include: configuring, deploying, and maintaining the AI agent in accordance with the agreed scope of work; monitoring agent performance and addressing technical issues within agreed support windows; and implementing reasonable content guardrails as specified in the applicable Proposal or Statement of Work.
Client's responsibilities in a Managed AI Agent deployment include:
- Designating a named point of contact responsible for overseeing AI agent operations
- Reviewing and validating AI-generated outputs before they are used in customer-facing communications, financial documents, quotes, contracts, or regulatory submissions
- Promptly notifying Hailant of any unexpected, harmful, or non-compliant agent behaviour
- Ensuring that all data, credentials, and system access provided to Hailant is authorized and lawful
- Configuring and maintaining any business-side guardrails, approval workflows, or human review processes appropriate to the client's industry and regulatory environment
Hailant does not guarantee specific business outcomes from Managed AI Agent deployments and is not liable for losses arising from automated outputs that the client has not reviewed and approved prior to use.
4. Proof of Concept (POC) Engagements
Hailant may offer time-limited Proof of Concept engagements to allow clients to evaluate a Managed AI Agent deployment before committing to a full production subscription. Unless otherwise specified in a signed Proposal or Statement of Work:
- A POC engagement has a defined start and end date, typically 60–90 days, as set out in the applicable Proposal
- POC fees are separate from and do not constitute an offer for ongoing production pricing
- The POC scope, deliverables, and success criteria are defined in the applicable Proposal
- Hailant may limit the volume of data processed, the number of system integrations configured, or the level of support available during a POC period
- A POC is exploratory in nature; the outputs, configurations, and workflows produced during a POC may require further development before production use
- Client data processed during a POC will be retained for 30 days following POC completion, after which it will be securely deleted unless the client has transitioned to a production agreement
- Completion of a POC does not create an obligation by either party to enter into a production agreement
- Either party may terminate a POC engagement with 14 days' written notice; POC fees paid are non-refundable upon early termination by the client
5. Eligibility
You must be at least 18 years of age and legally capable of entering into a binding contract under applicable Canadian law to use our services. Our services are intended primarily for businesses operating in Canada.
6. Account Registration and Security
Certain services require you to create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your credentials
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activity that occurs under your account
Hailant reserves the right to suspend or terminate accounts that violate these Terms or Anthropic's Usage Policy.
7. Acceptable Use
You agree to use Hailant's services only for lawful business purposes. You must not use our services to:
- Generate, distribute, or promote content that is illegal, harmful, defamatory, or fraudulent
- Violate any applicable federal, provincial, or local laws or regulations
- Infringe on the intellectual property rights of any third party
- Circumvent, disable, or interfere with security features of the platform
- Attempt to reverse-engineer, scrape, or extract the underlying AI models
- Use the AI to engage in deceptive practices, misinformation campaigns, or harassment
- Process data in violation of applicable privacy laws, including PIPEDA and applicable provincial privacy legislation
- Submit audio recordings or transcripts of conversations to Hailant's services without first obtaining all required consents under applicable recording, wiretapping, and privacy laws in all relevant jurisdictions
- Deliver AI-generated outputs (including quotes, proposals, pricing, or contracts) to customers or third parties without human review and approval of the content
Hailant reserves the right to investigate and take appropriate action, including suspension of service, for any violation of these provisions.
8. AI-Generated Content and Limitations
Our services utilize Claude, a large language model developed by Anthropic. You acknowledge and agree that:
- AI-generated outputs may be inaccurate, incomplete, or inappropriate for certain contexts
- You are solely responsible for reviewing, validating, and approving any AI-generated content before relying on it for business decisions or delivering it to customers or third parties
Hailant does not guarantee the accuracy, reliability, or fitness for purpose of any AI-generated output
AI outputs do not constitute legal, financial, medical, or professional advice
You retain full responsibility for how AI outputs are used within your organization and externally
In Managed AI Agent deployments where AI outputs are used to generate customer-facing documents — including quotes, proposals, pricing estimates, or contracts — you assume sole responsibility for reviewing and approving each such output before it is delivered to any customer or third party. Hailant is not liable for financial losses, customer disputes, or reputational harm arising from AI-generated outputs that have not been reviewed and approved by a human representative of your organization
AI agents connected to third-party systems may produce outputs based on incomplete, outdated, or inaccurate data from those systems; Hailant is not liable for errors arising from third-party data quality
Automated AI workflows may occasionally produce outputs containing unexpected, offensive, or factually incorrect content due to the inherent limitations of large language models. You are responsible for implementing appropriate human oversight to identify and correct such outputs before they are used
Content guardrails reduce but do not eliminate the risk of unexpected AI outputs; no guardrail configuration guarantees that all outputs will be appropriate for all contexts
9. Third-Party System Integrations
When a Managed AI Agent deployment requires Hailant to access your third-party business systems — including but not limited to CRM platforms, quoting tools, inventory systems, ERP software, or communication platforms — the following terms apply:
- You represent and warrant that you have the authority to grant Hailant access to such systems and that doing so does not violate your agreements with those third-party providers
- You are responsible for providing accurate, current access credentials and for promptly notifying Hailant of any credential changes or revocations
- Hailant will use your third-party system credentials solely for the purpose of delivering the agreed services and will not share credentials with any party other than Hailant employees or contractors directly involved in service delivery
- The availability and performance of Managed AI Agent deployments may depend on the uptime and API availability of your third-party systems. Hailant is not liable for service interruptions, errors, or data loss caused by third-party system outages, API changes, or third-party provider policy changes
- You are responsible for ensuring the data in your third-party systems is accurate and up to date; Hailant is not liable for AI outputs generated from inaccurate or stale third-party data
- Upon termination of any agreement, Hailant will promptly destroy or return all access credentials provided by you; you are also responsible for revoking Hailant's access directly within any third-party platforms
10. Call Recording and Voice Data
Hailant's Managed AI Agent services may include processing audio recordings and voice transcripts as inputs to AI workflows. With respect to such processing:
- You are solely responsible for complying with all applicable laws governing the recording of telephone calls, video meetings, and in-person conversations, including the Criminal Code of Canada (s. 184), applicable provincial privacy and wiretapping legislation, and any laws of any jurisdiction in which call participants are located
- You represent and warrant that all recordings submitted to Hailant's services were made in full compliance with applicable law and that all legally required consents were obtained prior to recording
- Hailant processes audio and transcript data solely as instructed by you; Hailant does not independently verify the legality of any recording submitted by you
- Voice and transcript data is processed subject to our Privacy Policy and Anthropic's data processing terms; you must ensure that any individuals whose voices or conversations are processed have been notified in accordance with applicable privacy law
- You agree to indemnify and hold harmless Hailant against any claims, regulatory fines, or damages arising from recordings or transcripts submitted to our services without required legal consent
11. Fees, Billing, and Payment
Service fees are set out in your applicable service agreement, subscription plan, or statement of work. Unless otherwise agreed in writing:
- All fees are quoted and charged in Canadian dollars (CAD)
- Subscription fees are billed in advance on a monthly or annual basis
- Overage charges (if applicable) are billed in arrears
- All amounts are exclusive of applicable taxes, including GST/HST
- Invoices are due within 30 days of the invoice date
- Late payments may be subject to interest at a rate of 1.5% per month (18% per annum)
Hailant reserves the right to suspend service for accounts with outstanding balances exceeding 30 days past due.
12. Data, Privacy, and Canadian Residency
Hailant is committed to protecting your data in accordance with Canadian privacy law, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial legislation.
We will not sell your data to third parties
Data shared with Anthropic for AI processing is subject to Anthropic's Privacy Policy
Where possible, Hailant will implement data residency controls to keep Canadian business data within Canada
You are responsible for ensuring you have the legal right to share any data you provide to us or process through our services
For full details, please refer to our Privacy Policy.
13. Intellectual Property
Your data: You retain all ownership rights to data, content, and materials you provide to Hailant. You grant Hailant a limited, non-exclusive license to use your data solely to provide the services.
Our platform: All software, documentation, methodologies, and materials developed by Hailant remain the exclusive property of Hailant Technologies Inc. Nothing in these Terms transfers ownership of Hailant's intellectual property to you.
AI outputs: Subject to Anthropic's terms and applicable law, outputs generated through our services for your use are owned by you, provided they were generated in compliance with these Terms.
14. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
15. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HAILANT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HAILANT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, HAILANT'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO HAILANT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) FIVE THOUSAND CANADIAN DOLLARS ($5,000 CAD). FOR POC ENGAGEMENTS, THE CAP IN (B) APPLIES WHERE THE TWELVE-MONTH FEE TOTAL IS LOWER.
IN NO EVENT SHALL HAILANT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, HAILANT SHALL NOT BE LIABLE FOR: (I) FINANCIAL LOSSES ARISING FROM AI-GENERATED QUOTES, PROPOSALS, PRICING, OR CONTRACTS THAT WERE DELIVERED TO CUSTOMERS OR THIRD PARTIES WITHOUT PRIOR HUMAN REVIEW AND APPROVAL; (II) LOSSES OR DAMAGES CAUSED BY THIRD-PARTY SYSTEM OUTAGES, API FAILURES, OR INACCURATE DATA IN CLIENT-OWNED SYSTEMS; OR (III) ANY CLAIMS, FINES, OR PENALTIES ARISING FROM THE CLIENT'S FAILURE TO COMPLY WITH APPLICABLE CALL RECORDING OR PRIVACY LAWS.
17. Indemnification
You agree to indemnify, defend, and hold harmless Hailant, its officers, directors, employees, and partners from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the services; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your breach of applicable law; (e) any audio recordings or transcripts you submit that were recorded without required legal consent; or (f) AI-generated outputs delivered to your customers or business partners without prior human review and approval.
18. Term and Termination
These Terms remain in effect for the duration of your use of Hailant's services. Either party may terminate the agreement with 30 days' written notice, unless otherwise specified in a signed service agreement. Hailant may terminate immediately for material breach, non-payment, or violation of Anthropic's Usage Policy.
For Proof of Concept engagements, the agreement terminates automatically at the end of the POC period defined in the applicable Proposal or Statement of Work, unless the parties execute a written production agreement before that date. Early termination of a POC by the client does not entitle the client to a refund of POC fees paid.
Upon termination, you will lose access to the services and any associated data after a 30-day wind-down period, during which you may export your data upon request. Hailant will also promptly destroy or return any third-party system credentials provided during the engagement, and you are responsible for independently revoking Hailant's access within any third-party platforms.
19. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising under these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Victoria, BC, in accordance with the Arbitration Act (BC), unless both parties agree otherwise in writing.
20. Changes to These Terms
Hailant may update these Terms from time to time. We will notify active clients of material changes via email at least 14 days before they take effect. Continued use of the services after the effective date constitutes acceptance of the revised Terms.
21. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force. These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and Hailant with respect to the subject matter herein.
